The following conditions form the terms of sale from Amtech RP Ltd to the addressee of the attached quotation (the buyer).

1. This quotation, unless previously withdrawn, remains valid for 30 days from the date hereof. The validity may be extended for a further period upon mutual agreement.

2. Amtech will produce components according to the design of the buyer or their agent and will be under no liability for the correct functioning of those components.

3. Orders accepted by Amtech cannot be cancelled or suspended by the buyer except upon terms which indemnify Amtech against actual or anticipated loss, or else by mutual agreement.

4. Amtech shall not be liable for any delay in delivery of the goods ordered by the buyer when that delay is due to circumstances beyond the control of Amtech.

5. VAT will be charged at the rate applicable on the date of despatch.

6. Payment of the amount stated on the invoice will become due 30 days after the date of issue of the invoice. If payment has not been received from the buyer before the end of the month following the month in which the invoice has been issued, the buyer will be deemed to be in breach of contract and Amtech may in those circumstances take appropriate action to recover any outstanding debt.

7. Delivery dates specified on this quotation are given in good faith according to circumstances at the time of issue of the quotation. Amtech reserves the right to alter the due date of delivery should circumstances change.

8. In the event of any goods supplied by Amtech being defective or in a state not acceptable to the buyer, the buyer shall bring this to the attention of a Director of Amtech within 7 days of receipt of the said goods, whereupon it shall be agreed between Amtech and the buyer whether faulty components should be replaced or else payment be waived.

9. This agreement shall be enforced in all aspects as a contract made in England in accordance with the Laws of England and the buyer shall submit to the jurisdiction of an appropriate English court.
